1. Who we are and what these terms cover
- showpage.co.uk (the "Service") is operated by [Company name] Ltd, company number [number], registered office [address], United Kingdom ("ShowPage", "we", "us").
- These terms apply to any company or organisation that registers a developer account to list developments and homes (the "Developer", "you"), and to each person who uses the account on its behalf. Home buyers are bound by the Terms for buyers.
- By registering, or by ticking the box confirming that you are authorised, you confirm that you have authority to bind the Developer and that the Developer accepts these terms and our Privacy policy.
2. Eligibility and verification
- The Service is for developers selling brand-new homes: house and apartment developers, build-to-rent operators, housing associations and SME developers. It is not for resale homes, lettings or estate agency.
- Every developer account is verified before its listings go live. We may ask for the company registration number, a company email address, planning or site details and other reasonable evidence, and we may refuse or withdraw verification at our discretion.
- You must keep your company profile accurate, including your registered name, contact details, warranty provider and the kinds of homes you build.
3. Accounts and users
- The first person to register becomes the account owner and may invite colleagues. You are responsible for everyone who uses your account and for removing people who leave.
- Each user must keep their password confidential. Tell us at once if you believe an account has been compromised.
4. Listings
- You may list developments and, within each, property types with their prices, bedrooms, availability, completion dates, specifications and the catalogue attributes we provide, plus photographs, renders, floorplans, site plans, brochures and specification documents.
- Everything you publish must be accurate, current and not misleading, and must comply with the law, including the Consumer Protection from Unfair Trading Regulations, the Digital Markets, Competition and Consumers Act and the New Homes Quality Code where it applies to you. Prices must be the prices at which the homes are genuinely available.
- Computer-generated images must be labelled as such. Images must show the development or the property type they are attached to, not a different scheme.
- You must update or pause a listing promptly when homes sell, prices change or completion dates move, and mark a development as sold out when it is. We may show "Sold out" automatically when no homes remain available.
- You must not publish content that is unlawful, defamatory, discriminatory, infringes anyone's rights, or contains contact details or links intended to take buyers off the Service other than the sales contacts the listing form provides for.
- We may edit a listing to fit the Service's format, decline or remove any listing or content, and suspend an account that breaches these terms, with or without notice. We will tell you why where we reasonably can.
5. Licence to your content
- You keep ownership of your content. You grant us a worldwide, royalty-free, non-exclusive licence to host, copy, resize, display and distribute it on the Service and in our marketing of the Service, including search engine listings and social media, for as long as it is published and for a reasonable period afterwards in cached copies.
- You warrant that you own or have the right to use everything you upload, including photographs and renders produced by third parties, and that our use under this licence will not infringe anyone's rights.
6. Buyer enquiries and data
- Buyers contact you directly by phone or email using the sales details on your listing. We show phone numbers partly masked until a buyer asks to reveal one, and we count views and number reveals for your statistics. We do not record calls.
- Any personal data you receive from a buyer is yours to process as an independent controller. You must handle it lawfully under UK data protection law, use it only to deal with that buyer's enquiry unless they agree otherwise, and not add buyers to marketing lists without their consent.
- Where a buyer has saved your development or opted in to alerts, we may tell them about launches, price changes and new releases you publish. That communication comes from us, not from you.
7. Fees
- Any fees for listing or for additional services are set out in a separate order form or agreement with you. Where no fee has been agreed, listing is free. We may introduce or change fees with at least 30 days' notice, which you may decline by removing your listings.
- Fees are exclusive of VAT and payable within 30 days of invoice unless agreed otherwise.
8. Statistics
The views, phone reveals and other statistics in the developer panel are provided for information. They are counted by our systems, exclude traffic we identify as automated, and may differ from your own analytics. We do not guarantee any level of traffic, enquiries or sales.
9. Availability and changes
- We aim to keep the Service available but do not promise uninterrupted or error-free operation. We may change or withdraw features, including the attribute catalogue, with reasonable notice where a change affects your listings materially.
- We may remove listings that have not been updated for a long period after warning you by email.
10. Liability and indemnity
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law.
- Subject to that, neither party is liable to the other for loss of profit, business, goodwill or data, or for any indirect or consequential loss. Our total liability to you in any 12-month period is limited to the fees you paid us in that period or, if none, £500.
- You will indemnify us against claims, losses and costs arising from your listings or other content, from your dealings with buyers, or from your breach of these terms or of the law.
11. Term and termination
- These terms apply from registration until your account is closed. You may close your account at any time; listings come down when you do, and any fees already due remain payable.
- We may suspend or close your account for a material breach that is not fixed within 14 days of our notice, immediately for a serious breach, or on 30 days' notice for any reason.
- Clauses 5, 6, 10 and 12 continue to apply after termination.
12. General
- These terms, together with any order form, are the whole agreement between us about the Service and replace any earlier discussions.
- We may update these terms with at least 30 days' notice by email. If you keep listing after the notice period you accept the updated terms.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions and complaints go to [email].
